Part I — Terms of Service
Welcome to A Special Batch. By accessing or using our platform, you agree to be bound by these Terms of Service.
1. Platform Role
A Special Batch provides the technology platform that enables independent creators to sell products in limited batches. We are not the seller. Each storefront is operated by an independent creator who is solely responsible for their products, fulfillment, and customer service.
2. Account Terms
You must be at least 18 years old to use this platform. You are responsible for maintaining the security of your account credentials. You may not use another person's account without permission.
3. Acceptable Use
You agree not to misuse the platform, including but not limited to: attempting to gain unauthorized access, interfering with other users, posting false or misleading content, or violating applicable laws.
4. Intellectual Property
The platform, including its design, code, and branding, is owned by A Special Batch. Creators retain ownership of their product content but grant the platform a license to display it on the storefront.
5. Limitation of Liability
To the maximum extent permitted by law, A Special Batch shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the fees you have paid to the platform in the preceding 12 months.
6. Disclaimer of Warranties
The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, the accuracy of product listings, or the quality of products sold by creators.
7. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration. You waive any right to participate in a class action. You may opt out of arbitration within 30 days of accepting these terms by contacting us in writing.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any legal proceedings shall be brought exclusively in the courts of Alberta, Canada.
9. Modifications
We reserve the right to update these Terms at any time. We will notify you of material changes via email. Your continued use of the platform after changes constitutes acceptance of the updated terms.
Part II — Batch Sale Terms
These terms apply to all purchases made through the A Special Batch platform.
1. Limited Availability
Products are sold in limited batches. Availability is not guaranteed. Batches may sell out before the order window closes. Creators are not obligated to restock or repeat batches.
2. Order Windows
Orders are only accepted during the specified order window. Once the window closes, no new orders can be placed for that batch.
3. Delivery & Pickup
Products will be available for pickup or delivery during the specified window. It is your responsibility to arrange pickup within the stated timeframe. The creator will communicate delivery/pickup details.
4. Pricing
All prices are set by the individual creator. A Special Batch does not control or set product prices.
5. Payment
Payment is processed securely by Stripe through the creator's connected account. The creator is the merchant of record. A Special Batch does not store your payment information.
6. Refunds
Refund policies may vary by creator. At a minimum, you are entitled to a full refund if your order cannot be fulfilled. For other refund requests, contact the creator directly through the platform.
7. Disclaimer
A Special Batch is a technology platform, not a seller. We do not manufacture, store, or inspect products. Product quality, safety, and fulfillment are the sole responsibility of the creator.
Part III — Seller Agreement
This Seller Agreement governs your use of the A Special Batch platform as a creator/seller.
1. Eligibility
You must be at least 18 years old and legally able to enter into contracts. You are responsible for complying with all applicable laws in your jurisdiction.
2. Platform Fees
A Special Batch charges platform fees as disclosed during onboarding. Fees are deducted from your Stripe payouts. All fee structures are communicated transparently before you begin selling.
3. Product Responsibility
You are solely responsible for the quality, safety, and accuracy of your product listings. You must comply with all applicable food safety, consumer protection, and product liability laws in your jurisdiction.
4. Prohibited Items
You may not sell: illegal products, controlled substances, counterfeit or trademark-infringing goods, products that violate food safety regulations, or any items prohibited by applicable law.
5. Order Fulfillment
You must fulfill all orders within your stated delivery or pickup windows. If you cannot fulfill an order, you must notify the customer and issue a refund promptly.
6. Batch Cancellation
You may cancel a batch, but you must refund all existing orders in full. Repeated cancellations may result in account review or termination.
7. Customer Data
You receive customer personal data (name, address, phone, order details) solely for order fulfillment. You may not use this data for marketing or any other purpose without separate customer consent.
8. Indemnification
You agree to indemnify and hold harmless A Special Batch from any claims, damages, or losses arising from your products, your storefront, or your breach of this agreement.
9. Stripe Connected Account
You must accept and comply with Stripe's Connected Account Agreement. Payment processing is handled through your Stripe account, and you are the merchant of record for all transactions.
10. Termination
A Special Batch may terminate your account for violations of this agreement. Upon termination, you must fulfill or refund all pending orders. Your product content will be removed from the platform.
11. Intellectual Property
You retain ownership of your product images, descriptions, and branding. You grant A Special Batch a non-exclusive license to display this content on the platform for the duration of your account.
